Levante UD opens the period for subscription or purchase of shares

Levante UD has opened the period for the purchase/subscription of shares. The club sells the shares physically at its offices and has also launched a Shareholder Portal with direct access from the internet so that shareholders who want to participate in the capital increase can do so comfortably and easily, from anywhere in the world. As you know, following its approval at the Extraordinary General Shareholders' Meeting held on February 10, the second item on the agenda, approved by a majority of 99.84%, was the increase in the company's share capital by the amount of 8,251,309.30 euros, up to the amount of 35,089,865.80 euros, through monetary contributions, by issuing and putting into circulation 137,293 new registered ordinary shares, consecutively numbered from 446,566 to 583,858, both inclusive, of the same class and series as those currently in circulation, with a nominal value of 60.10 euros each, without an issue premium, and with pre-emptive subscription rights, in accordance with the provisions of Article 304 of the Capital Companies Act, with the consequent amendment of Article 5 of the Articles of Association.

This capital increase was offered, as explained in the agenda item, in a single phase to all current shareholders of the company, except for Bizas Capital, S.L. The item includes that during the corresponding subscription period, each shareholder entitled to participate may subscribe and acquire a number of new shares exactly equal to the number of shares they already hold, in a one-to-one ratio (1 x 1).

In accordance with the provisions of Article 311 of the Capital Companies Act, the possibility of incomplete subscription of the capital increase is expressly provided, so that if it is not fully subscribed, the amount of the increase will be limited to the nominal value of the shares effectively subscribed and paid within the corresponding subscription period, with the remainder being null and void.

This increase is exclusively aimed at minority shareholders, so all Levante UD shareholders, except for Bizas Trading Company SL and the Cent Anys Foundation, will be able to purchase the same number of shares they currently hold, that is, if a shareholder owns one share, they can purchase one more at most (1x1). The deadline is April 2.

Shares can be purchased at the club's offices located at Calle San Vicente de Paúl, 44 in Valencia, from Monday to Friday during public opening hours, from 8:30 a.m. to 1:30 p.m. In addition, Levante UD has enabled a direct shareholder service phone number to address all inquiries, which is: 600 730 109. They also have the Shareholder Portal, where all shareholders have access to the portal and can access all information related to their shares (number of shares they own, certificate, etc.), and can even participate in the planned capital increase as well as carry out more transactions digitally.
